We represent governments of all sizes and manners by offering counsel for their legal needs and creating better communities through planned growth efforts. Our services include securing financing, underwriting, and structuring transactions, development agreements, planning and zoning, real estate, and general counsel services.
Public Finance
We regularly represent state and local governments, economic development authorities, and other special-purpose public entites in the planning, underwriting, issuance, and delivery of bonds and other financial transactions. We serve as bond counsel, disclosure counsel, tax counsel, and underwriters counsel on publicly offered bond issues, as well as bond counsel and bank and liquidity provider counsel in direct placements.

We represent commercial banks, institutional lenders, specialty finance companies, REITs, developers, insurance companies, and other lenders, along with corporate and non-corporate borrowers in a variety of areas, including manufacturing and industrial, commercial real estate and development, project finance, and syndicated finance.

General Counsel
Acting as outside general counsel for corporate and governmental clients, we advise on all manner of governance, financing and project planning, budgeting, and execution. We monitor our clients’ compliance with applicable ethics rules and procedures, respond to ethical issues as they arise, and implement best practices in our clients’ policies for risk management.
